Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Skuwd, LLC (“Skuwd,” “Company,” “we,” “us,” or “our”) governing your access to and use of the Skuwd mobile applications, web applications, websites, application programming interfaces (APIs), software, and related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

 

1. Eligibility and Authority

You must be at least eighteen (18) years of age and possess the legal capacity to enter into binding agreements. If you access or use the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

 

2. Description of Service

Skuwd provides cloud-based inventory management software that enables users to store, organize, track, and manage inventory-related information, including images, item records, QR/NFC identifiers, and related operational data.

Skuwd does not provide legal, accounting, tax, compliance, security, or financial advice. The Service is provided as a general-purpose software tool. You are solely responsible for determining whether the Service is appropriate for your specific use case or regulatory environment.

 

3. Account Security and Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Skuwd immediately of any unauthorized access or use of your account. Skuwd shall not be liable for any loss or damage arising from your failure to safeguard your credentials.

 

4. Payments, Billing, and Third-Party Processors

Skuwd uses Stripe, Inc. and its affiliates (“Stripe”) as a third-party payment processor. By providing payment information, you authorize Skuwd and Stripe to charge applicable subscription fees, taxes, and related charges to your selected payment method.

Skuwd does not store or process your payment card information directly. Payment processing is handled by Stripe in accordance with Stripe’s own terms and privacy policies. Skuwd is not responsible for payment processing errors, service interruptions, security incidents, or disputes arising from Stripe’s systems or services.

 

5. User Content and Data Storage

Skuwd uses Firebase, a Google Cloud Platform service operated by Google LLC, to host, store, and process user data, including inventory records and uploaded images.

By using the Service, you acknowledge and agree that:

  • Your data is transmitted to and stored on third-party cloud infrastructure.

  • Skuwd does not control the underlying infrastructure operated by its cloud service providers.

  • Data transmission and storage over the internet involve inherent risks.

Skuwd implements commercially reasonable safeguards; however, Skuwd does not guarantee that your data will be secure, uninterrupted, error-free, or immune from loss, corruption, unauthorized access, or deletion.

 

6. Prohibited Content and Illegal Use

You agree not to upload, store, transmit, or manage any content that is illegal, unlawful, abusive, or harmful, including but not limited to:

  • Child sexual abuse material (CSAM) or any content involving the sexual exploitation of minors (strictly prohibited)

  • Content that violates applicable laws or regulations

  • Content that facilitates illegal activity, fraud, theft, trafficking, or violence

  • Malware, viruses, or malicious code

Skuwd does not routinely monitor user content but reserves the right to remove content, suspend or terminate accounts, and cooperate with law enforcement where required by law.

 

7. No Responsibility for User Content

Skuwd does not review, verify, or validate user content. You bear sole responsibility for the legality, accuracy, and appropriateness of all data and materials you upload. Skuwd disclaims liability arising from user-generated content to the maximum extent permitted by law.

8. Data Loss, Downtime, and Business Impact

To the maximum extent permitted by law, Skuwd shall not be liable for:

  • Loss, corruption, or deletion of data

  • Service outages, downtime, interruptions, or degraded performance

  • Loss of revenue, profits, customers, or business opportunities

  • Any operational, financial, or reputational harm arising from use of or inability to use the Service

You acknowledge that the Service is not a fail-safe system and should not be relied upon as the sole system of record for mission-critical operations.

 

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SKUWD DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Skuwd does not warrant that the Service will be uninterrupted, timely, secure, or error-free.

 

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKUWD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SKUWD’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO SKUWD IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

 

11. Indemnification

You agree to indemnify, defend, and hold harmless Skuwd and its officers, directors, employees, contractors, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use or misuse of the Service

  • Your violation of these Terms

  • Your violation of applicable laws or regulations

  • Your content stored or transmitted through the Service

 

12. Termination

Skuwd may suspend or terminate your account at any time if you violate these Terms, fail to pay applicable fees, or engage in conduct that poses legal or reputational risk. Upon termination, your access may be revoked and your data may be deleted following a reasonable retention period, subject to legal and operational requirements.

 

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Skuwd is legally organized, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.

 

14. Modifications

Skuwd may modify these Terms from time to time. Continued use of the Service following any updates constitutes acceptance of the revised Terms.

 

15. Entire Agreement

These Terms constitute the entire agreement between you and Skuwd regarding use of the Service and supersede all prior or contemporaneous agreements or understandings.
